How to Start a Business in Pennsylvania: A Step-by-Step Guide

Starting a business in Pennsylvania is mostly a sequence of right-order decisions. Here’s the path we walk clients through, and where each step can go wrong.
Step 1: Choose Your Entity
Sole proprietorship, LLC, S corporation, or C corporation — the choice drives liability protection, taxes, and paperwork for years. For most new PA businesses an LLC is the flexible default; our start-up guide explains the trade-offs in depth, including when an S election starts saving self-employment tax.
Step 2: Register with the State
File your formation documents with the Department of State — Pennsylvania’s Business One-Stop Shop is the official portal — and check name availability first. Certain professions (medical, dental, legal) must use restricted professional entities rather than standard LLCs.
Step 3: Get Your EIN
Apply for a federal Employer Identification Number directly with the IRS — it’s free and takes minutes online. You’ll need it for a business bank account, employees, and most registrations. (Never pay a third-party site for this.)
Step 4: Open Tax Accounts & Licenses
Register with the Pennsylvania Department of Revenue for the taxes that apply to you — sales tax, employer withholding — and, if you’ll operate in Philadelphia, obtain a Commercial Activity License and BIRT account with the city’s Department of Revenue. Missing the city registrations is the most common first-year mistake we fix.
Step 5: Set Up the Financial Foundation
Open a dedicated bank account, start bookkeeping from transaction one, and calendar your quarterly estimated taxes. Businesses that begin organized stay organized.
